Co-Ownership

Process

The co-investment process

Stage One — Project Sourcing

Citisquare Africa sources and selects the projects to be financed. Due diligence consultants evaluate the selected projects on viability and profitability, and Citisquare separately evaluates the potential risks associated with the projects.

Stage Two — Structuring

A credible investment bank is appointed as custodian manager to hold and disburse funds under a binding custody agreement. An independent trustee escrows title documents and shares to ensure regulatory compliance and investor protection. Legal, accounting and project management teams are appointed.

Stage Three — Financing

Fractional shares or real estate notes are issued to investors, with investment certificates confirming ownership. Project developers provide guarantees or performance bonds. Anti-money-laundering procedures govern customer due diligence, risk assessment and transaction monitoring.

Governance

Trustee and custodian structure

Custodian Manager

Holds and secures funds, and disburses them periodically as required under the Custody Agreement.

Independent Trustee

Escrows title documents and the shares or real estate notes issued to investors, ensuring investors are properly protected in accordance with all relevant laws and regulations.

Legal & Financial Advisers

Provide advice on the creation, structure, documentation and compliance of the proposed agreement, and on financial matters and investment strategy.

Project Management

An experienced project management team is assembled to oversee project execution and monitoring.
